Welcome to MedShiftRx ("MedShiftRx," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the MedShiftRx website located at www.medshiftrx.com, including any related websites, mobile applications, customer portals, products, services, communications, and content made available by MedShiftRx (collectively, the "Services").
Please read these Terms carefully before accessing or using the Services.
By accessing, browsing, creating an account, placing an order, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy and any additional policies referenced herein. If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility
The Services are intended solely for individuals and business entities legally authorized to enter into binding contracts under applicable law.
Certain products and services offered through MedShiftRx are available only to licensed healthcare professionals, medical practices, healthcare organizations, or other authorized purchasers. By using the Services, you represent and warrant that:
You are at least eighteen (18) years of age;
You possess the legal authority to enter into these Terms;
- Any information you provide is accurate, complete, and current;
You will maintain the accuracy of your account information;
You will comply with all applicable federal, state, and local laws, regulations, licensing requirements, and professional standards.
If you are accessing the Services on behalf of a business, medical practice, or other organization, you represent that you have authority to bind that entity to these Terms.
2. Healthcare Professional Verification
Certain products sold through MedShiftRx are restricted to qualified healthcare professionals or licensed healthcare facilities.
To purchase restricted products, you may be required to provide information including, but not limited to:
- Professional license information;
- National Provider Identifier (NPI);
- DEA registration, where applicable;
- Business or practice information;
- State licensure;
- Other documentation reasonably requested by MedShiftRx.
MedShiftRx reserves the right to independently verify any information provided and may utilize third-party verification services to confirm licensure, practice status, prescribing authority, or business credentials.
- Verification does not guarantee approval for purchasing all products offered through the Services.
MedShiftRx may deny, suspend, or revoke purchasing privileges at any time if verification cannot be completed or if information provided is determined to be inaccurate, incomplete, misleading, or no longer valid.
3. Account Registration
Access to certain features of the Services requires creating an account.
- When creating an account, you agree to provide complete, accurate, and current information and to promptly update your account as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.
MedShiftRx utilizes secure authentication methods, including passwordless email verification and other authentication technologies, to help protect customer accounts. You are responsible for maintaining access to the email address associated with your account and ensuring that only authorized individuals have access to your authentication methods.
You agree to notify MedShiftRx immediately if you become aware of any unauthorized access to your account or any suspected security breach.
- We reserve the right to suspend or terminate any account that we believe has been compromised or is being used in violation of these Terms.
4. Business-to-Business Marketplace
MedShiftRx operates as a business-to-business marketplace and ecommerce platform serving qualified healthcare providers, medical practices, wellness clinics, and other authorized healthcare organizations.
- Depending on the product or service, MedShiftRx may act as:
- A distributor;
- A marketplace operator;
- A reseller;
- A technology platform;
- A facilitator connecting customers with licensed pharmacy partners, manufacturers, or other authorized suppliers.
Product availability, fulfillment, pricing, and shipping methods may vary depending on the product category, supplier, applicable laws, and customer location.
Certain products may be fulfilled directly by licensed pharmacies, outsourcing facilities, manufacturers, or other third-party fulfillment partners.
Nothing contained within these Terms creates a physician-patient relationship, pharmacist-patient relationship, or provider-patient relationship between MedShiftRx and any patient.
5. Prescription Products
Certain products available through the Services require a valid prescription, medical authorization, or compliance with applicable federal and state laws.
MedShiftRx does not perform any compounding, and any compounding is performed by licensed pharmacies or other appropriate, licensed facilities.
Where required:
- Prescriptions must be issued by appropriately licensed healthcare professionals acting within their scope of practice.
Products may only be dispensed where legally permitted.
- Licensed pharmacy partners maintain independent professional responsibility for prescription review, fulfillment, dispensing, and compliance with applicable pharmacy laws.
MedShiftRx does not practice medicine or pharmacy and does not make clinical decisions regarding patient care.
Customers remain solely responsible for ensuring that their prescribing, dispensing, administration, storage, and use of products comply with all applicable laws, regulations, licensing requirements, and professional standards.
MedShiftRx does not endorse or promote off-label use of any products, including prescription products.
6. State Availability
Certain products, services, or pharmacy offerings may not be available in every state or jurisdiction.
- Availability may change without notice due to:
- Federal or state law;
- Pharmacy licensing limitations;
- Manufacturer restrictions;
- Regulatory requirements;
- Supply chain constraints;
- Clinical or compliance considerations.
MedShiftRx reserves the right to refuse or cancel any order that cannot legally be fulfilled.
Customers are responsible for understanding the laws applicable to their jurisdiction before placing an order.
7. Compliance With Laws
You agree to use the Services only for lawful purposes.
You further agree that you will not:
- Purchase products for unlawful resale;
- Misrepresent your professional credentials;
- Provide false licensing information;
- Circumvent purchasing restrictions;
- Use products outside applicable legal requirements;
- Violate FDA, DEA, state pharmacy, or other healthcare regulations;
- Interfere with the operation or security of the Services.
Violation of this section may result in immediate suspension or termination of your account, cancellation of pending orders, and any other remedies available under applicable law.
8. Order Acceptance
Submission of an order does not constitute acceptance by MedShiftRx.
All orders remain subject to review, verification, inventory availability, supplier acceptance, payment authorization, and legal compliance.
MedShiftRx reserves the right to:
- Decline any order;
- Limit purchase quantities;
- Correct pricing or typographical errors;
- Request additional documentation;
- Cancel orders for suspected fraud, abuse, or regulatory concerns.
If payment has already been collected for an order that cannot be fulfilled, MedShiftRx will issue an appropriate refund consistent with applicable law and our refund policy.
- Formation of a binding sales agreement occurs only after MedShiftRx accepts your order and initiates fulfillment.
9. Pricing and Payment
All prices displayed on the Services are listed in U.S. Dollars (USD) unless otherwise indicated and are subject to change without prior notice.
MedShiftRx makes every effort to ensure pricing accuracy; however, pricing, product descriptions, availability, promotional offers, and specifications may occasionally contain typographical or technical errors. We reserve the right to correct any errors and to modify or cancel orders affected by such errors, even after an order has been submitted or payment has been authorized.
Payment must be received and successfully authorized before an order is accepted for fulfillment.
MedShiftRx accepts approved payment methods displayed during checkout. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize MedShiftRx or its payment processor to charge the total amount due, including applicable taxes, shipping charges, and other fees.
If a payment is declined, reversed, disputed, or otherwise fails after an order has been shipped, MedShiftRx reserves the right to pursue all lawful remedies to recover the outstanding balance.
10. Taxes
Unless otherwise stated, prices do not include applicable federal, state, or local sales, use, excise, or similar taxes.
Where required by law, applicable taxes will be calculated and added during checkout.
Customers are responsible for any taxes, duties, customs fees, or governmental assessments associated with their purchases unless otherwise prohibited by applicable law.
11. Product Availability
All products are offered subject to availability.
- Inventory levels displayed on the Services are estimates and do not guarantee product availability.
MedShiftRx reserves the right to:
- Limit quantities available for purchase;
- Discontinue products at any time;
- Substitute packaging due to manufacturer updates;
- Allocate inventory during periods of limited supply;
- Delay fulfillment because of manufacturing, pharmacy, or supplier constraints.
- We are not responsible for delays caused by product shortages, manufacturer backorders, regulatory actions, or circumstances outside our reasonable control.
12. Orders and Order Changes
- Once an order has been submitted, it immediately enters processing and may not be modified or canceled.
Customers requesting changes should contact Customer Support as soon as possible. While we will make reasonable efforts to accommodate requests, changes cannot be guaranteed once fulfillment has begun.
MedShiftRx reserves the right to refuse or cancel any order for reasons including, but not limited to:
Product unavailability;
- Verification issues;
- Regulatory restrictions;
- Suspected fraud;
- Pricing errors;
Payment authorization failure;
- Supplier or pharmacy limitations.
If an order is canceled after payment has been processed, any eligible refund will be issued to the original payment method.
13. Shipping and Delivery
Shipping times provided through the Services are estimates only and are not guaranteed.
Delivery timeframes may vary based on:
Product availability;
- Supplier processing;
- Pharmacy fulfillment;
- Weather conditions;
- Carrier delays;
- Holidays;
- Regulatory review;
- Other unforeseen circumstances.
MedShiftRx is not responsible for delays caused by shipping carriers or events beyond our reasonable control.
Customers are responsible for providing complete and accurate shipping information.
- Additional shipping charges may apply if an order must be reshipped because of an incorrect or incomplete shipping address provided by the customer.
14. Risk of Loss
Unless otherwise required by applicable law, title to and risk of loss for products passes to the customer upon delivery of the shipment to the carrier.
Customers are responsible for inspecting shipments promptly upon delivery.
Claims involving damaged, missing, or incorrect shipments should be reported to MedShiftRx within five (5) business days of delivery.
Failure to timely report shipping issues may affect our ability to investigate or provide a replacement.
15. Temperature-Sensitive Products
Certain products require controlled storage conditions during shipping and upon delivery.
Customers are responsible for ensuring that temperature-sensitive products are promptly received, inspected, and stored according to manufacturer, pharmacy, or product instructions.
MedShiftRx is not responsible for product degradation resulting from:
- Delayed acceptance of delivery;
- Improper storage;
- Exposure to excessive heat or cold after delivery;
Failure to follow handling instructions.
16. Returns and Refunds
- Due to federal and state regulations governing medical products, pharmaceuticals, sterile products, and healthcare supplies, many products sold by MedShiftRx are not eligible for return.
- Eligible returns may be accepted only when:
- Authorized in advance by MedShiftRx;
- Returned in original, unopened, and resalable condition;
- Received within the applicable return period;
- Accompanied by any required documentation.
Certain products, including prescription medications, compounded medications, biologics, sterile products, refrigerated products, customized items, and products designated as non-returnable, are not eligible for return except where required by law or due to verified shipping error or product defect.
Approved refunds will generally be issued to the original payment method.
Shipping charges are non-refundable unless otherwise required by law or when the return results from an error made by MedShiftRx.
17. Damaged or Incorrect Shipments
Customers should inspect all shipments immediately upon delivery.
If an order arrives damaged, incomplete, or contains incorrect products, customers must notify MedShiftRx as soon as reasonably possible and provide any requested photographs or documentation to assist with our investigation.
MedShiftRx reserves the right to determine the appropriate resolution, including replacement, credit, refund, or other remedy consistent with applicable law and supplier requirements.
18. Promotional Offers
- From time to time, MedShiftRx may offer promotional pricing, discounts, coupon codes, loyalty rewards, referral incentives, or other promotional programs.
Unless otherwise expressly stated:
- Promotions have no cash value.
- Promotions may not be combined.
- Promotions may be modified or discontinued at any time.
- Promotions are valid only during the stated promotional period.
- Promotions may be limited to qualifying customers, products, or order values.
MedShiftRx reserves the right to cancel promotional discounts that result from system errors, misuse, or fraudulent activity.
19. Subscription and Recurring Orders
If MedShiftRx offers subscription-based purchasing or recurring order programs, customers authorize recurring charges according to the selected subscription terms.
Customers may manage or cancel eligible subscriptions through their account or by contacting Customer Support before the next scheduled billing date.
- Subscription pricing, product availability, shipping schedules, and program benefits may change from time to time.
MedShiftRx reserves the right to suspend or discontinue subscription programs at its discretion.
20. Customer Responsibilities
Customers agree to:
- Maintain accurate account information;
- Keep billing and shipping information current;
- Maintain access to the email address associated with their account;
- Promptly notify MedShiftRx of unauthorized account activity;
- Ensure compliance with all applicable healthcare laws and regulations;
- Use products only as intended and in accordance with applicable instructions, labeling, and professional standards.
Customers remain solely responsible for all clinical decisions, patient care, prescribing practices, storage, administration, and use of products purchased through the Services.
21. Account Suspension and Termination
MedShiftRx reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate access to the Services if we reasonably believe a customer has:
- Violated these Terms;
- Provided inaccurate information;
- Failed verification requirements;
- Engaged in fraudulent activity;
- Misused products;
- Violated applicable laws or regulations;
- Created an unreasonable risk to MedShiftRx, its suppliers, customers, pharmacy partners, or affiliates.
Termination does not relieve the customer of any outstanding payment obligations or other responsibilities incurred prior to termination.
MedShiftRx also reserves the right to discontinue any portion of the Services at any time without liability, subject to applicable law.
22. Intellectual Property
The Services, including all content, text, graphics, logos, trademarks, service marks, trade names, product images, videos, software, code, page layouts, designs, compilations, documentation, educational materials, downloads, and other materials made available through the Services (collectively, the "Content"), are owned by or licensed to MedShiftRx and are protected by United States and international intellectual property laws.
Nothing in these Terms transfers any ownership rights to you.
Subject to these Terms, MedShiftRx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
You may not:
- Copy, reproduce, republish, distribute, or publicly display Content without prior written permission;
- Modify, adapt, translate, or create derivative works from the Content;
- Reverse engineer or attempt to extract source code from the Services;
- Use any MedShiftRx trademarks or branding without prior written authorization;
- Use automated tools, bots, scrapers, or data mining technologies to access or collect information from the Services without our written consent.
- Unauthorized use of the Services or Content may violate intellectual property and other applicable laws.
23. User Content
If you submit reviews, comments, testimonials, photographs, suggestions, ideas, feedback, or other materials through the Services ("User Content"), you grant MedShiftRx a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicensable license to use, reproduce, publish, display, distribute, modify, adapt, and create derivative works from such User Content for lawful business purposes.
You represent that:
You own or have permission to submit the User Content;
- Your submission does not infringe the rights of any third party;
- Your submission is accurate to the best of your knowledge;
- Your submission does not contain confidential information you are not authorized to disclose.
MedShiftRx reserves the right, but not the obligation, to remove User Content at its discretion.
24. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation;
- Submit false or misleading information;
- Misrepresent your professional credentials;
- Attempt unauthorized access to any account or system;
- Interfere with the operation or security of the Services;
- Upload malicious software or harmful code;
- Engage in fraudulent or deceptive conduct;
- Resell products where prohibited;
- Infringe intellectual property rights;
- Harass, threaten, or abuse MedShiftRx employees, suppliers, partners, or other users.
- We reserve the right to investigate suspected violations and cooperate with law enforcement or regulatory authorities where appropriate.

The Services may contain links to third-party websites, applications, manufacturers, pharmacies, payment processors, shipping providers, educational resources, or other external services.
These third parties operate independently of MedShiftRx.
MedShiftRx does not control and is not responsible for:
- Third-party content;
- Third-party privacy practices;
Product availability;
Shipping services;
- Clinical decisions;
- Professional advice;
- Website functionality.
Accessing third-party services is at your own risk and subject to the terms and policies of those third parties.
26. No Medical Advice
The information provided through the Services is intended solely for informational and educational purposes.
Nothing contained on the Services constitutes:
- Medical advice;
- Nursing advice;
- Pharmacy advice;
- Diagnosis;
- Treatment recommendations;
- Clinical guidance;
- Legal or regulatory advice.
Healthcare professionals remain solely responsible for exercising independent professional judgment regarding patient care, prescribing decisions, treatment plans, product selection, dosing, administration, monitoring, and compliance with applicable laws and professional standards.
- Patients should always consult their own licensed healthcare provider regarding medical care.
27. Product Information
MedShiftRx makes reasonable efforts to present accurate product information.
- However, product descriptions, ingredient lists, images, availability, packaging, manufacturer specifications, educational materials, and pricing may change without notice.
- Manufacturers, suppliers, and pharmacy partners may update product information at any time.
Customers are responsible for reviewing current product labeling, package inserts, prescribing information, instructions for use, and manufacturer guidance before purchasing or administering any product.
28. Disclaimer of Warranties
- THE SERVICES, CONTENT, PRODUCTS, AND INFORMATION PROVIDED THROUGH MEDSHIFTRX ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
- MEDSHIFTRX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- TITLE;
- QUIET ENJOYMENT;
- ACCURACY;
- UNINTERRUPTED ACCESS;
- ERROR-FREE OPERATION.
- MEDSHIFTRX DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
- Some jurisdictions do not permit certain warranty disclaimers. In those jurisdictions, the foregoing disclaimers shall apply only to the maximum extent permitted by applicable law.
29. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDSHIFTRX, ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUPPLIERS, LICENSORS, PHARMACY PARTNERS, MANUFACTURERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO:
- USE OF THE SERVICES;
- PURCHASE OR USE OF PRODUCTS;
- DELAYED SHIPMENTS;
- LOST PROFITS;
- LOSS OF BUSINESS;
- LOSS OF DATA;
- BUSINESS INTERRUPTION;
- REGULATORY ACTIONS;
- PRODUCT AVAILABILITY;
- THIRD-PARTY SERVICES.
- TO THE EXTENT PERMITTED BY LAW, MEDSHIFTRX'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO MEDSHIFTRX FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
30. Indemnification
You agree to defend, indemnify, and hold harmless MedShiftRx and its affiliates, officers, directors, employees, contractors, suppliers, licensors, pharmacy partners, manufacturers, successors, and assigns from and against any claims, damages, liabilities, judgments, penalties, fines, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of applicable laws or regulations;
- Your negligence or misconduct;
- Your professional services;
- Your misuse of products purchased through the Services.
31. Privacy
- Your use of the Services is also governed by the MedShiftRx Privacy Policy, which explains how we collect, use, disclose, and safeguard personal information.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
32. Electronic Communications
By creating an account, providing your email address, or otherwise interacting with MedShiftRx electronically, you consent to receive electronic communications relating to your account, orders, transactions, security notifications, policy updates, and customer service.
You agree that electronic communications satisfy any legal requirement that communications be provided in writing.
You are responsible for maintaining access to the email address associated with your account.
33. Force Majeure
MedShiftRx shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to:
- Natural disasters;
- Severe weather;
- Fire;
- Flood;
- Pandemic or public health emergency;
- Labor disputes;
- Government actions;
- Regulatory changes;
- Cybersecurity incidents;
- Transportation interruptions;
- Supply chain disruptions;
- Utility failures;
- Acts of war or terrorism.
Performance shall be excused for the duration of the applicable event.
34. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.
Subject to any applicable arbitration provision, any action arising from these Terms shall be brought exclusively in North Carolina, and each party consents to the jurisdiction therein.
35. Dispute Resolution
- Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute by providing written notice describing the nature of the dispute and allowing the other party at least thirty (30) days to respond.
If the dispute cannot be resolved through informal negotiations within sixty (60) days of initial notice, the parties agree that the dispute must be resolved through binding arbitration. Arbitration shall be administered by the American Arbitration Association (AAA), or a mutually acceptable substitute if AAA is unavailable. Notwithstanding, either party may pursue an individual action in small claims court if qualified, or may pursue injunctive or equitable relief in a court of competent jurisdiction. Claims may be brought only in an individual capacity and not through any purported class action. Each party shall bear their own costs and expenses in dispute resolution unless otherwise determined by the arbitrator.
36. Changes to These Terms
MedShiftRx may revise these Terms from time to time to reflect changes in our Services, business operations, legal requirements, or industry practices.
The updated version will become effective upon posting to the Services unless otherwise stated.
- Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.
37. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
- Any invalid provision shall be interpreted, modified, or limited only to the extent necessary to make it enforceable while preserving its original intent whenever possible.
38. No Waiver
Failure by MedShiftRx to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
- Any waiver must be in writing and signed by an authorized representative of MedShiftRx.
39. Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of MedShiftRx.
MedShiftRx may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, corporate restructuring, or by operation of law.
40. Entire Agreement
These Terms, together with the Privacy Policy and any additional policies or legal notices expressly incorporated by reference, constitute the entire agreement between you and MedShiftRx regarding your use of the Services and supersede all prior or contemporaneous communications, understandings, or agreements relating to the subject matter.
